Limitation of Liability
Motion Miles Logistics | Effective Date: June 2026
This policy defines the extent of Motion Miles Logistics' liability in connection with the delivery services it provides. By using our services, the Client agrees to the limitations and conditions set forth below.
1. Exclusion of Consequential Damages

Except as otherwise expressly provided in a written guaranteed delivery agreement executed by both parties, Motion Miles Logistics, its affiliates, officers, directors, employees, agents, and subcontractors shall not be liable to the Client or any third party for any indirect, incidental, special, consequential, or exemplary damages — including but not limited to loss of profits, loss of income, loss of business opportunities, loss of data, or business interruption — arising out of or in connection with any delay, service interruption, or failure to deliver.

2. Aggregate Liability Cap

Except as otherwise expressly provided in Section 3 (Cargo Claims) of this Policy, the aggregate liability of Motion Miles Logistics for any claim arising out of or relating to the specific delivery service provided shall be strictly limited to the total amount actually paid by the Client for such service.

3. Cargo Claims

Motion Miles Logistics maintains cargo insurance coverage with limits up to $100,000 per occurrence, subject to policy terms, exclusions, conditions, and carrier approval. Coverage is not guaranteed for all shipment types. In the event of loss or damage to cargo, the Client's sole remedy shall be limited to the lesser of: (a) the actual documented value of the damaged or lost items; or (b) the applicable insurance coverage limits in effect at the time of the loss.

Intent to file a cargo claim must be submitted in writing within thirty-six (36) hours of delivery. All supporting documentation — including photographs, invoices, receipts, proof of value, and any other information reasonably requested by the Company or its insurer — must be finalized and submitted within seven (7) calendar days of the delivery date. Claims submitted after this period will not be eligible for review or compensation.

Motion Miles Logistics will communicate this claim window in the delivery completion notification sent to the Client upon successful delivery. It is the Client's responsibility to review delivery confirmations promptly and act within the applicable timeframe.

4. Force Majeure

Motion Miles Logistics shall not be liable for any delay, failure, or interruption of service resulting from circumstances beyond its reasonable control, including but not limited to traffic accidents, severe weather, natural disasters, government actions, civil unrest, labor disruptions, vehicle breakdowns, or technology failures.

5. Client Responsibility

Motion Miles Logistics shall not be liable for any loss, damage, or delay attributable to:

  • Improper, inadequate, or insufficient packaging by the Client or any third party;
  • Inaccurate, incomplete, or misleading information provided by the Client at the time of booking;
  • The inherent nature or fragility of the items tendered for delivery;
  • The Client's failure to comply with applicable laws, regulations, or the Company's policies;
  • Acts or omissions of third parties not under the Company's direct control.
6. No Liability for Third-Party Services

Motion Miles Logistics utilizes third-party platforms, APIs, and service providers in connection with its operations. The Company shall not be liable for any failure, outage, error, or interruption attributable to any third-party service provider, except to the extent such failure directly results from the Company's own gross negligence or willful misconduct.

7. Exceptions

Nothing in this Limitation of Liability Policy shall operate to exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law, including liability for death or personal injury caused by the Company's gross negligence or willful misconduct.

8. Governing Law

This Policy shall be governed by the laws of the State of Texas. Any disputes arising under this Policy shall be subject to the exclusive jurisdiction of the courts located in Travis County, Texas.
